01. Using Cooper
These Terms of Use govern access to Cooper’s website, membership application, and brand and activator workspaces (the “Service”). “Cooper,” “we,” and “us” refer to the operator of the Service. Our Privacy Policy explains how we handle personal information.
Use the Service only if you are at least 18 and have authority to act for any organization you represent. If a separate signed agreement with Cooper applies to your membership or a transaction, that agreement controls where it conflicts with these terms.
02. Applications and membership
You may apply without creating an account. Provide accurate information about your identity, organization, role, and authority. Applying does not guarantee approval, membership, or a partnership.
Cooper reviews applications. Approved applicants may receive an acceptance link to establish account access. Invitations are personal and must not be transferred. Membership approval is separate from the review and approval of individual opportunities.
Keep your account credentials private, keep your contact information current, and notify us promptly if you suspect unauthorized access. Organizations are responsible for the actions of their authorized representatives.
03. Opportunities and transactions
Cooper helps brands, agencies, and activators discover opportunities, organize briefs, and discuss potential partnerships. An opportunity’s availability, audience figures, scope, deliverables, rights, and price must be confirmed with the relevant parties.
A listing, introduction request, saved opportunity, or deal-room entry does not itself create a sponsorship, reserve inventory, or commit a party to a transaction. Commercial agreements, approvals, payments, and performance obligations must be confirmed separately in writing by the parties involved.
Cooper’s review of an opportunity does not guarantee its accuracy, commercial performance, or an opportunity owner’s ability to deliver. Do your own diligence before entering an agreement.
04. Information and content you provide
Submit only information and materials you own or are authorized to use and share. This includes company details, audience evidence, decks, photographs, logos, offers, and supporting documents. Keep claims accurate and disclose material restrictions or changes.
You retain ownership of your materials. You give Cooper permission to host, store, reproduce, format, and display them as needed to operate the Service, review your submission, provide support, and make approved opportunities available to the intended audience. This permission does not authorize an unrelated use of your brand or content.
Do not upload unnecessary sensitive personal information, private credentials, or information you are not permitted to disclose. You are responsible for obtaining any required permissions from people whose information appears in your materials.
05. Private information and confidentiality
Member-only partner identities, briefs, decks, audience evidence, commercial terms, and workspace materials may be confidential. Use them only to evaluate or manage a legitimate partnership. Do not republish, sell, scrape, or share private information outside the authorized audience without the owner’s permission.
Cooper’s privacy controls do not replace a nondisclosure agreement. If additional confidentiality terms are required, agree them with the relevant parties before sharing sensitive materials. Information you explicitly publish or authorize for public display may be accessible publicly.
06. Acceptable use
Do not impersonate another person or organization, submit misleading opportunities, infringe intellectual-property rights, harass others, distribute malicious files, or use Cooper for unlawful activity.
Do not attempt to bypass membership or organization access controls, obtain another member’s private information, test or disrupt the Service without permission, or collect Service content through unauthorized automated scraping. Use of administrator tools is restricted to authorized Cooper personnel.
07. Fees and separate agreements
Submitting a membership application does not authorize a charge. Any paid membership, service fee, renewal, cancellation, refund, or transaction charge must be disclosed and agreed separately before it applies. These terms do not establish a price, automatically start a paid subscription, or set the terms of a sponsorship.
08. Service changes and account access
We may improve or change features, review or remove content, and restrict or suspend access where reasonably necessary to protect the Service, address misuse, comply with law, or enforce applicable agreements. Where appropriate, we will provide notice and a way to discuss the issue.
Availability may be affected by maintenance, third-party services, or events outside our control. Keep copies of important materials rather than treating Cooper as your only archive. Contact us if you want to close an account; record retention is described in our Privacy Policy.
09. Responsibility and applicable rights
To the extent permitted by applicable law, the Service and third-party opportunity information are provided on an “as available” basis. We do not promise uninterrupted access, a particular commercial outcome, or the suitability of an opportunity for your needs.
Each party remains responsible for its own representations, commitments, rights clearances, and obligations. Nothing in these terms excludes liability, limits a remedy, or waives a right that applicable law does not allow to be excluded, limited, or waived.
10. Changes to these terms
We may update these terms to reflect changes to the Service or applicable requirements. The updated version will be posted on this page with a revised date. For material changes affecting an existing membership, we will provide additional notice where appropriate or required.
